| Annotation |
Insufficiency of research of law definitions applied by a legislator with the purpose of protection of corporate rights for shareholders is caused topicality of the article. Norms of Law of Ukraine «On Joint Stock Companies» regulating a concept «Large transaction», maintenance of this concept are analyzed in the article. The methods of protection of violated rights and interests of shareholders are offered via Article 6 of the Convention for the Protection of Human Rights and Fundamental Freedoms. The author offers his own understanding of the concept «Bargain item», which is used in pt. 5 Article 70 of Law of Ukraine «On Joint Stock Companies». Under a «bargain item» author suggests implying law consequences to that parties aspired at the time of signing it. Author draws a conclusion about the purview of this norm and about the possible methods of protection of rights for shareholders. |
