The article explores the issues of protecting a bona fide mortgagee in a legal conflict with the property owner. It analyzes a scenario where an unlawful possessor grants a mortgage on property, and the owner, upon recovering it, finds the property encumbered by a lien established without their consent. The study examines the legal grounds for applying this construct through the prism of mechanisms for overcoming gaps in civil law. It is determined that the absence of a relevant norm may indicate “qualified silence of the legislator”, suggesting that the Civil Code of Ukraine might not contain grounds for protecting a bona fide mortgagee. The article analyzes the challenges of applying analogy of statute based on Articles 330 and 388 of the Civil Code of Ukraine, as well as the recourse to analogy of law, which may lead to competition between the principles of good faith, justice, and reasonableness. A comparative analysis of foreign experience shows that effective legal grounds for protecting bona fide acquirers of proprietary rights lie in the legislative regulation of the registration system through the principle of public trust in the registry. The author concludes that it is advisable to regulate the issue of bona fide acquisition of proprietary security rights during the recodification of civil legislation.
