| Annotation |
Legal nature of basic properties and characteristic features of interest of transactions and large transactions in joint stock companies are examined in the article. Particular attention is paid to the analysis of main structural component part of an appropriate legal action. This is done by separation and synthesis of common and distinctive features of these transactions and attempts to create a coherent system, which is theoretically grounded, to perform coherent definition that is not depend to the theoretical doctrinal component now. The author emphasizes the lack of doctrinal positions regarding the powers of the special legal regime. Therefore a parallel correlation of theoretical components of transactions with related transactions in foreign jurisdictions are carried out. It is noteworthy to mention a foreign legal experience of special powers implementation. This work aims at establishing and correlation with the interest of transactions and large transactions and integrates theoretical elements and litigation in the national legal system. |
