| Annotation |
The article presents an analysis of main flaws of legal regulation of legal transactions of interest and significant legal transactions through hareholders’ rights protection. Special attention is dedicated to evasion of shareholders’ right to demand mandatoty redemption of their shares by company and limitations of shareholders’ right to initiate litigation of significant transaction. The author also researched shareholders’ rights as emerged from their possession rights on the basis of ECHR decision. The legal nature of «approval of significant transaction» and «pre-approval of significant transactions» was analyzed in the Article. In addition to this, an issue of terminological indetermination regarding objects of significant transactions was researhed. Sugesstions to amend LU on Joint Stock Companies were provided by the author aiming to eliminate mentioned above flaws. |
