The Article presents an analysis of the legal framework of protection of Rights of minority shareholders. The Article examines the question of the derivative suit in Ukraine. In addition, the Article explores the question of filing a lawsuit and getting proper court protection. The purpose of this work is to explore the rights of shareholders in interested party transaction and significant transactions in Joint Stock Companies. This work explains how shareholders rights could be violated. The Article intends to resolve problems that exist in Ukrainian Corporate law. There some recommendation that can be used in purpose to improve the structure of the remedies for protection of shareholders rights. |
